These Terms & Conditions (“Terms”) govern your access to and use of our website, digital platforms, and all related digital marketing services, solutions, and products (collectively, the “Services”).
By accessing or using our Services, you (“Client”, “User”, “you”) agree to be bound by these Terms and all applicable laws of India, including but not limited to the Information Technology Act, 2000, Information Technology (Amendment) Act, 2008, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and other relevant Indian legal frameworks. If you do not agree with these Terms, you must immediately discontinue use of our Services.

1. Eligibility

You must be at least 18 years of age and legally competent to enter binding contracts under the Indian Contract Act, 1872.
By engaging with our Services, you represent and warrant that you meet these eligibility requirements and that all information you provide to us is true, accurate, and complete.
If you are using our Services on behalf of a company, partnership, or any other entity, you confirm that you have the proper authority to bind such entity to these Terms.

2. Services Offered

Scope of Services: We provide a wide range of digital marketing solutions, including but not limited to search engine optimization (SEO), search engine marketing (SEM), social media marketing and management, pay-per-click campaigns, online branding, email marketing, content creation, video production and editing, graphic design, website design and development, performance marketing, analytics, and digital strategy consulting.
Custom Engagements: The exact scope of services, timelines, and deliverables will be defined in individual proposals, service agreements, or work orders mutually agreed upon with the Client.
Third-Party Tools: In providing services, we may use third-party platforms and tools. The terms and policies of such platforms will also apply, and the Client agrees to comply with them in addition to these Terms.

3. Client Responsibilities

- Accuracy of Information: The Client agrees to provide all information, materials, access, and approvals required for execution of services in a timely and accurate manner.
- Content Ownership: All creative assets, logos, texts, videos, and other content provided by the Client must be owned by them or legally licensed. The Client shall be fully responsible for any copyright, trademark, or third-party intellectual property infringement claims.
- Compliance: The Client must ensure that their business, brand, products, and advertisements comply with all applicable laws of India, including Consumer Protection Act, 2019, IT Act, 2000, and relevant advertising guidelines issued by authorities like ASCI (Advertising Standards Council of India).
- Approval & Feedback: The Client must review and approve campaigns, creatives, and reports promptly. Delays in

4. Payments & Billing

- Payment Terms: Payments shall be made strictly as per the terms outlined in the signed proposal or invoice. Unless otherwise agreed, advance payment is required before commencement of work.
- Taxes: All fees are exclusive of Goods & Services Tax (GST) or any other applicable statutory taxes, which will be charged additionally.
- Late Payments: Delay in payments may attract interest charges at the rate permissible under Indian law, and Services may be paused or terminated until dues are cleared.
- Refunds: Payments once made are generally non-refundable, unless specifically agreed in writing under exceptional circumstances.

5. Intellectual Property

- Ownership of Deliverables: All intellectual property rights in the strategies, reports, creatives, campaigns, and deliverables created by us shall remain our property until full and final payment has been made by the Client.
- License for Use: Upon receiving full payment, the Client will be granted a limited, non-exclusive, non-transferable license to use the deliverables strictly for their business purposes.
- Exclusions: Our pre-existing intellectual property, including software, tools, methodologies, processes, templates, and know-how, remain exclusively owned by us and are not transferred to the Client.

6. Confidentiality & Data Protection

Confidential Information: Both parties agree to maintain strict confidentiality regarding sensitive business, financial, or proprietary information shared during the course of engagement.
Data Privacy: We adhere to the provisions of the IT Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 in handling sensitive client data.
Disclosure: Information will only be disclosed if required under Indian law, governmental orders, or legal proceedings.
Client Responsibility: Clients are responsible for ensuring that any personal data they provide for campaigns has been collected lawfully with proper consent, as required under Indian data protection guidelines.

7. Prohibited Use

The Client must not use our Services for any of the following:

- Hosting, distributing, or promoting unlawful, abusive, defamatory, obscene, or harmful content.
- Running misleading or fraudulent advertisements that violate Indian consumer or advertising laws.
- Activities involving spamming, phishing, malware distribution, or any form of cyber fraud.
- Violating the provisions of the Indian Penal Code (IPC), Information Technology Act, 2000, Copyright Act, 1957, or any other applicable law in India.

8. Limitation of Liability

We shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, goodwill, or business opportunities arising from the use of our Services.
While we employ industry-standard strategies, we do not guarantee specific outcomes such as top search rankings, increased revenues, or fixed return on investment, as these depend on several external factors beyond our control.
Our total liability for any claim arising under these Terms shall not exceed the total fees paid by the Client for the Services giving rise to the claim.

9. Termination

By Client: The Client may terminate the engagement by providing written notice as per the terms mentioned in the specific service agreement.
By Company: We reserve the right to terminate or suspend Services with immediate effect in case of non-payment, breach of Terms, unlawful activities, or misuse of our Services.
Effect of Termination: Upon termination, all outstanding dues must be cleared immediately, and any licenses granted to the Client will cease unless agreed otherwise in writing.

10. Governing Law & Jurisdiction

These Terms are governed by and shall be construed in accordance with the laws of India.
Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in [Delhi NCR / Haryana], India.

11. Amendments

We reserve the right to amend, modify, or update these Terms at any time at our sole discretion.
Such changes will be published on our website with an updated “Last Modified” date. Continued use of Services after such modifications constitutes acceptance of the revised Terms.
