Terms & Conditions

Welcome to Mirasphere Digital Private Limited (“Company”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, digital platforms, and all related digital marketing services, solutions, and products (collectively, the “Services”).
By using our Services, you agree to these Terms. If you do not agree, please stop using our Services immediately. These Terms apply across three regions: India, the European Union, and the United Kingdom. Each section states the general rule first, followed by any regional variations where local law differs.

1. Who Can Use Our Services

You must be at least 18 years old and legally able to enter a contract. If you are acting on behalf of a business, you confirm you have the authority to agree to these Terms on its behalf. You also confirm that all the information you give us is accurate and complete. 
 
India: 
Eligibility is assessed under the Indian Contract Act, 1872. You must be of sound mind and not disqualified by any applicable Indian law. 
 
EU and UK: 
You must also meet any additional age or legal capacity requirements under the laws of your country. 

2.What We Do

We offer a broad range of digital marketing services, including: 
  • Search engine optimisation (SEO) and search engine marketing (SEM)
  • Social media marketing and management
  • Pay-per-click (PPC) advertising
  • Email marketing and online branding
  • Content creation, graphic design, and video production
  • Website design and development
  • Performance marketing, analytics, and digital strategy 

 

The exact work, timelines, and outputs for your project will be agreed in a separate proposal or service agreement. We may use third party platforms to deliver our services. Where we do, their Terms and policies will also apply to you. 

3. Client Responsibilities

Providing What We Need :
You agree to give us accurate information, materials, and approvals on time. If delays on your end affect our work, we will not be responsible for missing deadlines. 
 
Content You Own:
Any content you share with us (logos, text, images, videos) must be owned by you or properly licensed. You are responsible for any legal claims relating to content you provide. 
 
Compliance with Laws: 
You must ensure your business, products, and advertising comply with the laws that apply to you. 
 
India: 
This includes the Consumer Protection Act 2019, the IT Act 2000, and advertising guidelines from the Advertising Standards Council of India (ASCI). 
 
EU: 
This includes the EU Consumer Rights Directive, the Digital Services Act, and any local advertising regulations in your country. 
 
UK: 
This includes the Consumer Rights Act 2015, the UK Advertising Codes set by the Advertising Standards Authority, and any other applicable UK regulations. 

4. Payments & Billing

When Payment Is Due 
Payment terms will be set out in your proposal or invoice. Unless we agree otherwise in writing, payment is required before we start work. 
 
Late Payment 
If payment is late, we may pause or stop your services. 
 
India: 
Interest on late payments will apply at the rate permitted under Indian law. 
 
EU: 
Late payment interest will apply under the EU Late Payment Directive (Directive 2011/7/EU), at 8% above the European Central Bank reference rate. 
 
UK: 
Late payment interest will apply under the Late Payment of Commercial Debts (Interest) Act 1998, at 8% above the Bank of England base rate. 
 
 
Taxes 
India: 
All fees are exclusive of Goods and Services Tax (GST), which will be added to your invoice at the applicable rate. 
 
EU: 
All fees are exclusive of VAT. VAT will be charged at the applicable rate in your country. If you are a VAT-registered business, reverse charge rules may apply. 
 
UK: 
All fees are exclusive of VAT. UK VAT will be added at the current standard rate where applicable. 
 
 
Refunds 
Payments are generally not refundable once work has begun. Exceptions may be agreed in writing in specific circumstances. 
 
EU and UK: 
If you are a consumer (not a business), you may have additional cancellation and refund rights under consumer protection laws. Where these apply, we will honour them. Please get in touch with us to find out more. 

5. Ownership of Work

During the Project 
All work we create, including strategies, reports, creative assets, and campaigns, remains our property until we have received full payment. 
 
After Full Payment 
Once paid in full, you receive a limited, non-exclusive right to use the deliverables for your own business. This right cannot be transferred to others.
 
Our Tools and Methods 
We keep ownership of our own software, tools, templates, processes, and know-how. These are never transferred to you. 

6. Confidentiality & Data Protection

Confidentiality 
Both parties agree to keep each other’s sensitive business, financial, and proprietary information confidential. This continues even after our engagement ends. 
 
Your Personal Data 
How we collect and use your personal data is described in our Privacy Policy. By using our Services, you agree to those practices. 
 
India: 
We handle personal data in line with the IT Act 2000 and the IT (Reasonable Security Practices and Sensitive Personal Data) Rules 2011. We only share information when required by Indian law or legal process proceedings. 
 
EU: 
We process personal data under the General Data Protection Regulation (GDPR). You have rights, including access, correction, deletion, objection, and data portability. To exercise these rights or raise a concern, contact us at info@mirasphere.digital. You also have the right to complain to your national data protection authority. 
 
UK: 
We process personal data under the UK GDPR and the Data Protection Act 2018. You have the same rights as described for the EU above. You may also complain to the Information Commissioner’s Office (ICO) at ico.org.uk. 
 
Campaign Data 
If you provide us with personal data for use in campaigns (for example, email lists), you confirm that the data was collected lawfully and with proper consent. 

7. Prohibited Use

The Client must not use our Services for any of the following:

  • Publishing or promoting content that is unlawful, harmful, abusive, defamatory, or obscene
  • Running misleading or dishonest advertisements
  • Spam, phishing, spreading malware, or any form of online fraud
  • Anything that violates copyright, privacy, or other people’s legal rights
  • Any activity that breaks the laws of India, the EU, or the UK

8. Limitation of Liability

  • We shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, goodwill, or business opportunities arising from the use of our Services.
  • While we employ industry-standard strategies, we do not guarantee specific outcomes such as top search rankings, increased revenues, or fixed return on investment, as these depend on several external factors beyond our control.
  • Our total liability for any claim arising under these Terms shall not exceed the total fees paid by the Client for the Services giving rise to the claim.

 

EU and UK: 
Nothing in these Terms removes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law. Consumer statutory rights are not affected. 

9. Termination

  • By Client: The Client may terminate the engagement by providing written notice as per the terms mentioned in the specific service agreement.
  • By Company: We reserve the right to terminate or suspend Services with immediate effect in case of non-payment, breach of Terms, unlawful activities, or misuse of our Services.
  • Effect of Termination: Upon termination, all outstanding dues must be cleared immediately, and any licenses granted to the Client will cease unless agreed otherwise in writing.
  • EU and UK: Nothing in these Terms removes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law. Consumer statutory rights are not affected. 

10. Governing Law & Jurisdiction

India: 
These Terms are governed by the laws of India. Any dispute will be handled by the competent courts in Delhi NCR or Haryana, India. 
 
EU: 
For EU clients, these Terms are governed by the laws of India, except where mandatory consumer protection laws in your EU country provide you with greater rights. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. 
 
UK: 
For UK clients, these Terms are governed by the laws of India, except where mandatory UK consumer protection laws apply. You may also seek resolution through UK Alternative Dispute Resolution schemes. 

11. Changes to These Terms

We may update these Terms at any time. Changes will be published on our website with an updated date. If you continue to use our Services after changes are made, you are accepting the updated Terms. 
 
EU and UK: 
Where required by law, we will notify you of material changes in advance and give you the option to end your engagement before the changes take effect.
